1. Acceptance of Terms

By accessing, creating an account, or using Memozeat™ (the "Platform"), operated by Suryaprakash Varaprakasam (the "Founder/Operator"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms").

If you do not agree to these Terms, you may not use the Platform.

These Terms are a binding legal agreement between you and the Operator.

2. Definitions

• "User" - You (the individual using the Platform)
• "Operator" - Suryaprakash Varaprakasam (individual, Platform owner)
• "Platform" - Memozeat™ website, mobile PWA, and services
• "Content" - Memos, links, comments, profile data, content you post
• "User-Generated Content (UGC)" - All content created by users
• "Official User" - User verified by Operator (OFFICIAL TAG and yellow checkmark)

3. User Eligibility & Accounts

3.1 Age Requirement

Memozeat™ is a platform for reading and exploring memos. Anyone can view public memos on the Platform.

To create an account and post content, you must be 13 years or older. If you are 13-18, parental guidance is recommended. By creating an account, you represent that you meet the age requirement and (if applicable) have parental permission.

3.2 Account Responsibility

You are responsible for:

• Keeping your password confidential
• All activity under your account
• Immediately notifying us of unauthorized access
• Providing accurate, complete registration information

3.3 Account Termination

The Operator reserves the right to terminate your account immediately if you:

• Violate these Terms
• Post illegal, hateful, or abusive content or links to it
• Engage in harassment or spam
• Violate others' intellectual property rights
• Attempt to hack or exploit the Platform
• Provide false identity information

4. User Conduct Standards

4.1 PROHIBITED CONTENT

You agree NOT to post, share, add links or transmit:

• Hate Speech: Content attacking persons based on race, religion, gender, sexual orientation, disability
• Violence: Threats of harm, instructions for violence, glorification of violence
• Sexual Content: Explicit/nude content, child sexual abuse material (CSAM)
• Harassment: Targeted abuse, doxxing, stalking, cyberbullying
• Misinformation: False information about health, elections, public safety
• Spam: Repetitive unsolicited content, phishing, scam links
• Intellectual Property Violation: Copyrighted/trademarked content without permission
• Illegal Content: Drug trafficking, terrorism, human trafficking, fraud
• Impersonation: Pretending to be someone else

4.2 User Responsibility for Links

⚠️ CRITICAL: You are SOLELY RESPONSIBLE for any links you post.

The Operator is NOT responsible for:

• Where your links lead
• Malware or viruses in external sites
• Scams or fraud on external sites
• Copyright infringement on external sites
• Privacy violations of external sites

You warrant that any links you post:

• Do NOT contain malware, viruses, or exploits
• Do NOT lead to phishing or scam sites
• Do NOT infringe on others' intellectual property
• Do NOT violate applicable laws
• Are accessible and functional

If your link causes harm, the Operator is NOT liable. YOU are liable.

5. Limitation of Operator Liability

5.1 "As-Is" Service

The Platform is provided "AS IS" without warranties of any kind. The Operator does not guarantee:

• Uninterrupted service availability
• Error-free operation
• Data backup or recovery
• Protection from unauthorized access
• Absence of viruses or malware

5.2 No Liability for User Content

The Operator is NOT liable for:

• User-generated content (memos, links, comments)
• Content posted by other users
• Offensive, illegal, or harmful content
• Loss of user data or memos
• Privacy violations by other users

5.3 Liability Cap

In NO event shall the Operator be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, lost revenue, lost data
• Business interruption
• Any damages exceeding the amount you paid (if any)

This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

5.4 Assumption of Risk

You assume all risk of using the Platform, including:

• Accessing malicious external links posted by other users
• Downloading malware or viruses
• Becoming victim of scams or fraud
• Privacy violations or identity theft

6. User Content & Intellectual Property

6.1 You Retain Ownership

You retain all rights to content you create. By posting a memo, you grant the Platform a license to:

• Display your memo on the Platform
• Store your memo on servers
• Make your memo available to other users

6.2 You Warrant

You warrant (promise) that:

• You own or have permission to post your content
• Your content does not infringe on others' rights
• Your content is not defamatory, obscene, or illegal
• Your content complies with these Terms
• The links you attatch complies with these Terms and Safe/Secure

6.3 Copyright Complaint (DMCA)

If you believe content infringes your copyright, file a complaint at: Memozeat™ DMCA Page

Include: Your name, copyright registration, the infringing content URL, and a statement that you have good faith belief the content infringes your rights.

We will respond within 5 business days.

7. Content Moderation & User Reports

7.1 Right to Moderate

The Operator reserves the right to:

• Remove content that violates these Terms
• Suspend or ban users who violate these Terms
• Investigate reports of violations
• Cooperate with law enforcement

7.2 Reporting Violations

If you see illegal or violating content, report it via the Platform's report feature or email: grievance@memozeat.com

Include: The content URL, reason for report, and any supporting evidence.

7.3 Investigation Response

The Operator will:

• Acknowledge your report within 48 hours
• Investigate within 5-7 business days
• Take action if violation confirmed
• Notify you of outcome (if you provide contact info)

8. Intermediary Status (Section 79, IT Act 2000)

The Operator acts as an intermediary under Section 79 of the Information Technology Act, 2000 (India). As such:

• The Operator is NOT liable for user-generated content, provided the Operator:
  • Does not create, select, or modify the content
  • Does not have knowledge of the content being unlawful
  • Promptly removes content upon notification
  • Acts in good faith

This is a legal safe harbor that protects the Operator from liability for user posts.

• We use functional cookies for user preferences
• We do NOT use tracking cookies (no Google Analytics, no Facebook Pixel)
• We do NOT sell your data

10. Disclaimers

10.1 Accuracy Disclaimer

The Platform does not guarantee the accuracy, completeness, or timeliness of any information. User-generated content may be inaccurate or outdated.

10.2 Medical/Legal Disclaimer

The Platform is NOT a substitute for professional medical, legal, or financial advice. If you need professional guidance, consult a qualified professional.

10.3 Third-Party Links

The Platform may contain links to external websites. The Operator is NOT responsible for the content, accuracy, or privacy practices of external sites.

10.4 Service Availability

The Platform is provided on an "as available" basis. The Operator does not guarantee:

• 24/7 uptime
• Continuous service without interruption
• No scheduled maintenance

11. Account Termination

11.1 Operator's Right

The Operator may terminate your account at any time, for any reason, with or without notice, including:

• Violation of these Terms
• Illegal activity
• Operator's discretion

11.2 Your Right

You may delete your account at any time by going to Settings > Delete Account. Your data will be deleted per our Privacy Policy.

Recommended: To ensure your profile details (including pictures) are deleted appropriately and completely, we advise you to inform the Operator at privacy@memozeat.com prior to deletion. This ensures comprehensive processing of your deletion request.

12. Governing Law & Dispute Resolution

12.1 Jurisdiction

These Terms are governed by the laws of India, specifically:

• Information Technology Act, 2000
• Indian Penal Code, 1860
• Digital Personal Data Protection Act, 2023
• Indian Contract Act, 1872

12.2 Venue & Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India. Any legal action or proceeding arising from these Terms or your use of the Platform shall be exclusively resolved in such courts.

12.3 Dispute Resolution

Before litigation, both parties agree to attempt to resolve disputes through:

1. Good faith negotiation (30 days)
2. Mediation (if negotiation fails)
3. Arbitration or litigation (as last resort)

13. Changes to These Terms

The Operator may update these Terms at any time. Changes are effective immediately upon posting. Your continued use of the Platform constitutes acceptance of updated Terms. If you disagree with changes, you may delete your account.

14. Entire Agreement

These Terms, along with our Privacy Policy and DMCA Policy, constitute the entire agreement between you and the Operator regarding the Platform. These Terms supersede all prior agreements.
